1. Who we are

These terms govern services provided by Business Administration, LLC, a Wyoming limited liability company registered as a foreign limited liability company in Missouri, operating under the name CountyCall ("we", "us"). Our address is 1887 Cedarmill Drive, Chesterfield, MO 63017.

2. What we provide

We license lead-generation websites to home-service contractors, manage client Google Business Profiles, provide AI phone intake services, and build custom websites on a quoted basis. A website license grants the client the exclusive right to be the sole provider featured on the stated site and to receive the customer inquiries that site generates for the duration of the license. Google Business Profile services are provided as stated in the license agreement: a one-time profile rebuild with every license, and monthly profile management with the Gold plan.

3. What a license does not transfer

The license is a grant of the right to receive the site's inquiries. It does not transfer ownership of the domain name, website files, content, tracking phone number, call recordings, or any associated account. All of these remain the property of Business Administration, LLC during and after the license term. Custom development projects are different and are governed by the separate written proposal for that project.

4. Fees and billing

License fees are stated in the client's license agreement and are billed monthly in advance to a payment method on file, beginning on the date the site is pointed to the client. Fees are flat. We do not charge per lead, per call, or as a share of the client's revenue. Any scheduled change in the fee, such as the step up from an introductory rate, is stated in the license agreement — including the date or the condition on which it takes effect — before the client signs.

5. Cancellation

Either party may cancel a license at any time by giving thirty (30) days' written notice. For a client, written notice means an email to [email protected] identifying the company and the county. The client is billed for the thirty-day notice period and not afterward. There is no cancellation fee and no minimum term.

6. Refunds

If we fail to keep a client's site online and reachable, or fail to deliver the inquiries it generates, and we do not correct the failure within a reasonable time after being notified, we refund the fee for the affected month. We do not refund fees because the number of inquiries in a given month was lower than expected. Demand for home services varies with weather, season, and local conditions, and that variability is the reason our fee is flat rather than per lead.

7. Client obligations

Clients must hold and maintain any license, registration, or insurance their trade and jurisdiction require, must respond to inquiries in a reasonable and professional manner, and must not use the site to advertise services they are not lawfully able to perform. We may end a license immediately if a client loses a required license or uses a site unlawfully.

8. Call recording

Calls placed to the tracking numbers on our sites may be recorded for quality and verification. Recording practices follow the law of the applicable jurisdiction, including any requirement to notify callers. Recordings are our property and may be shared with the client of the relevant site.

9. No guarantee of results

We do not guarantee any particular search ranking, number of inquiries, or volume of business. Search engines change, competitors act, and demand fluctuates. What we commit to is keeping the site online, maintaining its content, continuing to work on its performance, and delivering to the client the inquiries it produces.

10. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to these terms or any license is limited to the fees paid by the client in the three months preceding the event giving rise to the claim. We are not liable for lost profits or indirect or consequential damages.

11. Changes to these terms

We may update these terms. Material changes affecting existing clients take effect at the start of the next billing period after notice is given, and a client who does not accept them may cancel under section 5.

12. Governing law

These terms are governed by the laws of the State of Missouri, without regard to conflict of law principles.
